Aidaxcarus Sales Associate Program (ASAP)

Welcome to the Aidaxcarus Sales Associate Program (ASAP), a platform operated by Aidaxcarus Expertise Academy Ltd. (“Aidaxcarus,” “we,” “us,” or “our”).

These Terms and Conditions (“Terms”) govern your access to and use of the Aidaxcarus Sales Associate Program, including its affiliate and sales-associate services, vendor services, online-store functionality, product listings, promotional tools, commission system, and related services (collectively, the “Platform”).

By registering for an account, accessing the Platform, listing products, promoting products, operating an online store, or otherwise using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

For purposes of these Terms:

“Platform” means the Aidaxcarus Sales Associate Program and associated websites, applications, tools, services, and features.

“Sales Associate” means a registered member who promotes or sells products or services available through the Platform in exchange for eligible commissions.

“Vendor” means a person or business that lists, supplies, or sells products or services through the Platform.

“Store Owner” means a member who uses the Platform to operate an online storefront.

“Customer” means an individual or organization that purchases or attempts to purchase a product or service through the Platform.

“Commission” means the amount payable to an eligible Sales Associate for a qualifying sale under the applicable product's commission rate.

“Product” includes physical products, digital products, services, courses, subscriptions, offers, and other items made available through the Platform.

2. Eligibility and Account Registration

You must provide accurate, complete, and current information when creating an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Keeping your account information accurate.
• All activities conducted through your account.
• Immediately notifying Aidaxcarus of unauthorized access or suspected account compromise.

Aidaxcarus reserves the right to refuse registration, restrict access, suspend, or terminate an account where we reasonably believe that the account or its activities violate these Terms, applicable law, or the integrity of the Platform.

3. Sales Associate Program

The Platform enables members to promote eligible products and earn commissions from qualifying sales.

Sales Associates may use approved promotional tools, links, product information, marketing materials, and other resources provided through the Platform.

Sales Associates must:

• Promote products honestly and responsibly.
• Provide accurate information about products.
• Use only authorized promotional materials where required.
• Avoid misleading claims or deceptive advertising.
• Comply with applicable advertising, consumer-protection, privacy, and marketing laws.
• Avoid representing themselves as employees, agents, or legal representatives of Aidaxcarus unless expressly authorized.

Participation in the Sales Associate Program does not guarantee any particular income, sales volume, commission, or financial result.

4. Commission Structure

Commission rates may vary by product, vendor, campaign, category, promotional arrangement, or other factors.

The applicable commission rate displayed or communicated for a product or offer will generally determine the commission applicable to an eligible transaction.

Aidaxcarus may change commission rates, promotional terms, eligibility requirements, or commission structures from time to time. Changes may apply prospectively to new qualifying transactions.

A commission may be withheld, reversed, adjusted, or cancelled where a transaction:

• Is cancelled or refunded.
• Is fraudulent or suspected to be fraudulent.
• Results from prohibited promotional activity.
• Is disputed or reversed by a payment provider.
• Does not satisfy the applicable product's qualification requirements.
• Results from self-referrals or other prohibited transactions.
• Violates these Terms or applicable laws.

Aidaxcarus may establish minimum withdrawal thresholds, payment schedules, verification requirements, and other payout conditions.

5. Vendor Participation

Members may be permitted to list and sell their own products or services through the Platform.

Vendors are responsible for ensuring that:

• Products and services are accurately described.
• Prices and availability are accurate.
• Products are lawful to sell.
• They have the legal right to sell the listed products.
• Product claims are truthful and not misleading.
• Orders are fulfilled appropriately.
• Customers receive the products or services purchased.
• Applicable warranties, refunds, guarantees, taxes, and consumer obligations are properly handled.

Vendors must not list counterfeit, stolen, illegal, prohibited, unsafe, or otherwise unauthorized products.

Aidaxcarus may review, reject, remove, restrict, or suspend product listings that violate these Terms or Platform policies.

6. Online Stores

Where the Platform provides online-store functionality, Store Owners may create and operate digital storefronts subject to these Terms.

Store Owners are responsible for the content, products, pricing, descriptions, images, claims, and other information displayed in their stores.

Aidaxcarus provides technology and platform functionality but does not automatically become the seller, manufacturer, supplier, or owner of products listed by independent vendors.

Store Owners must not use the Platform to operate fraudulent, deceptive, unlawful, or misleading businesses.

7. Product Ownership and Vendor Responsibility

Unless expressly stated otherwise, vendors retain ownership and responsibility for their products and services.

Listing a product on the Platform does not constitute an endorsement or guarantee by Aidaxcarus regarding the quality, safety, legality, suitability, accuracy, or performance of that product.

Aidaxcarus may remove products or suspend vendors where necessary to protect customers, Sales Associates, vendors, or the Platform.

8. Sales Associate and Vendor Relationship

Participation in ASAP does not create an employment, partnership, joint-venture, franchise, agency, or other fiduciary relationship between a member and Aidaxcarus.

Sales Associates and vendors operate independently unless a separate written agreement provides otherwise.

Members have no authority to make representations, promises, warranties, contracts, or commitments on behalf of Aidaxcarus without written authorization.

9. Prohibited Activities

Users must not use the Platform to:

• Commit fraud or facilitate fraudulent transactions.
• Misrepresent products, services, prices, discounts, or earnings.
• Make false or misleading claims.
• Engage in spam or abusive marketing.
• Use unauthorized automated systems to manipulate Platform activity.
• Manipulate clicks, leads, referrals, orders, or commissions.
• Create fake accounts or transactions to generate commissions.
• Engage in self-referrals where prohibited.
• Infringe intellectual-property rights.
• Sell prohibited or unlawful products.
• Upload malicious software or harmful code.
• Attempt to gain unauthorized access to Platform systems.
• Interfere with Platform security or functionality.
• Scrape, copy, or systematically extract Platform data without authorization.
• Use the Platform for illegal activities.
• Engage in conduct that could damage the reputation, security, or operation of Aidaxcarus.

Aidaxcarus may investigate suspected violations and take appropriate action, including withholding commissions, removing content, restricting accounts, suspending accounts, or terminating accounts.

10. Marketing and Promotional Standards

Sales Associates and vendors are responsible for their promotional activities.

Promotional communications must be truthful, clear, and reasonably representative of the product or service being promoted.

Members must not make unrealistic income promises, including claims that participation in ASAP guarantees a specific income.

Where required by law or Platform policy, members must clearly disclose affiliate or commission relationships.

11. Intellectual Property

The Aidaxcarus name, trademarks, logos, platform design, software, content, graphics, systems, documentation, and other proprietary materials belong to Aidaxcarus or its respective licensors.

Except where expressly authorized, users may not:

• Copy or reproduce Platform materials.
• Modify Aidaxcarus trademarks or logos.
• Represent Aidaxcarus intellectual property as their own.
• Create confusingly similar brands or websites.
• Use Aidaxcarus intellectual property in a way that suggests unauthorized endorsement or partnership.

Approved promotional materials may be used only according to the applicable promotional guidelines.

12. User-Generated Content

Users may submit product descriptions, images, videos, reviews, promotional materials, store content, comments, and other information to the Platform.

Users remain responsible for ensuring that their submitted content is lawful and does not infringe third-party rights.

By submitting content, you grant Aidaxcarus a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and use that content as reasonably necessary to operate, promote, improve, and provide the Platform and its services.

13. Customer Transactions

Aidaxcarus may provide technology that facilitates interactions between customers, Sales Associates, vendors, and Store Owners.

Depending on the transaction structure, the relevant vendor or seller may be responsible for fulfillment, customer service, returns, refunds, warranties, and product-related obligations.

Users agree to cooperate with Aidaxcarus in resolving transaction disputes and investigations involving the Platform.

14. Payments and Withdrawals

Payment processing and withdrawals may be subject to verification, minimum thresholds, applicable fees, processing periods, payment-provider requirements, and other conditions communicated through the Platform.

Aidaxcarus may delay payments where necessary to investigate fraud, disputes, refunds, chargebacks, policy violations, or other irregularities.

Users are responsible for providing accurate payment information.

15. Taxes

Users are responsible for determining and fulfilling their own tax obligations arising from commissions, sales, business activities, or other income received through the Platform.

Aidaxcarus may make deductions, reports, or other disclosures where required by applicable law.

16. Refunds, Chargebacks, and Reversals

Where a customer transaction is refunded, cancelled, disputed, charged back, or otherwise reversed, associated commissions may be reversed or adjusted.

If a commission has already been paid and subsequently becomes invalid, Aidaxcarus may recover the amount by deducting it from future eligible commissions or through other lawful means.

17. Platform Availability

Aidaxcarus will make reasonable efforts to maintain the availability and functionality of the Platform.

However, uninterrupted access cannot be guaranteed.

The Platform may occasionally be unavailable due to:

• Maintenance.
• Updates.
• Security measures.
• Technical failures.
• Internet or telecommunications problems.
• Third-party service interruptions.
• Events beyond Aidaxcarus's reasonable control.

18. Third-Party Services and Links

The Platform may contain integrations, payment services, links, or services provided by third parties.

Aidaxcarus is not responsible for third-party services that it does not control.

Your use of third-party services may be subject to separate terms and privacy policies.

19. Disclaimer

To the maximum extent permitted by applicable law, the Platform and its services are provided on an “as available” and “as is” basis.

Aidaxcarus does not guarantee:

• That users will generate income.
• That Sales Associates will achieve a particular number of sales.
• That products will achieve particular results.
• That the Platform will always be uninterrupted or error-free.
• That every vendor, customer, Sales Associate, product, or transaction will meet a user's expectations.

Users should independently evaluate products, business opportunities, and transactions before proceeding.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Aidaxcarus shall not be liable for indirect, incidental, special, consequential, or punitive losses arising from or related to use of the Platform.

This may include loss of profits, sales, revenue, business opportunities, data, reputation, or anticipated income.

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded under applicable law.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aidaxcarus, its officers, directors, employees, affiliates, contractors, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your violation of these Terms.
• Your unlawful conduct.
• Your products or services.
• Your store or vendor activities.
• Your promotional activities.
• Your infringement of third-party rights.
• Your misuse of the Platform.

22. Suspension and Termination

Aidaxcarus may suspend, restrict, or terminate your account where we reasonably believe that you:

• Breached these Terms.
• Engaged in fraud or abuse.
• Violated applicable law.
• Created a security risk.
• Manipulated commissions or transactions.
• Misused the Platform.
• Created significant risk to Aidaxcarus, customers, vendors, or other users.

Upon termination, your right to use the affected Platform services may immediately cease.

Eligible commissions earned before termination may remain subject to verification, refunds, chargebacks, disputes, and other applicable conditions.

23. Changes to These Terms

Aidaxcarus may update these Terms from time to time.

Updated Terms may be posted on the Platform with a revised “Last Updated” date.

Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

24. Privacy

Your use of the Platform may involve the collection and processing of personal information.

Your personal information will be handled in accordance with the applicable Aidaxcarus Privacy Policy.

25. Governing Law and Dispute Resolution

These Terms shall be governed by the laws applicable to Aidaxcarus and its operations, subject to any mandatory rights or protections available to users under applicable law.

The parties should first attempt to resolve disputes through good-faith communication before commencing formal proceedings, where legally permissible.

Jurisdiction: Nigeria.

26. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be limited or removed to the minimum extent necessary, while the remaining provisions shall continue in effect.

27. Entire Agreement

These Terms, together with applicable Platform policies, privacy policies, vendor policies, commission rules, and other expressly incorporated terms, constitute the agreement governing your use of the Platform.
